Davy Stockbrokers (Brian Seymour)
In what is a traditionally quiet period for investment funds listing on the Irish Stock Exchange, Davy enjoyed an unseasonably active period and noted further signs of increasing confidence returning to global equity markets.
The Cayman Islands was definitely the domicile of choice this period as Davy listed five new Cayman domiciled investment companies on the Official List. Of note is the Santoma Arbitrage Fund Limited, organised as a feeder fund with the investment objective of seeking to produce capital appreciation by investing in global convertible bonds, equities and related corporate securities, derivatives and structured products. The investment manager of the fund is Dublin based Burdon Capital Limited.
Following on with the ever-popular master-feeder structure is Fortis EM Fixed Income Hedge Fund Limited. The investment objective of the listed feeder fund via investment in a master fund is to seek to achieve long-term capital appreciation while maintaining a limited net exposure to the market. For volatility comparison purposes, the market will be represented by the JP Morgan Emerging Market Bond Index Global.
Davy has seen much recent interest in the listing of Cayman Segregated Portfolio Companies. Included in our listings this period was Hasenbichler Funds SPC. Hasenbichler Funds SPC is incorporated as a segregated portfolio company under the laws of the Cayman Islands. Segregated portfolios will be created by the fund to segregate the assets and liabilities attributable to each class from the liabilities attributable to any other Class and from the general liabilities of the fund. The investment objective of the fund is to achieve long term capital appreciation through professionally managed speculative trading of primarily cumulative futures and foreign exchange contracts.
Ernst & Young (Jimmy Donnelly)
During the period under review, Ernst & Young listed a number of asset-backed securities. In line with the trend to date, a number of these were standard CDO deals. One notable exception was Lisa Synthetic CDO B.V.; this deal was structured with a Dutch Issuer. This is a break away from the norm, where the vast majority of CDO issues are structured with Cayman Islands issuer and a Delaware co-issuer. Two CMBS deals were also listed during this period, Bear Stearns Commercial Mortgage Securities Inc. Commercial Mortgage Pass-Through Certificate, Series 2003 and Wachovia Bank Commercial Mortgage Trust Commercial Mortgage Pass-Through Certificates Series 2003. Banc of America Securities LLC acted as a Co-Lead Manager and Joint Bookrunner for both of these deals.
On the investment funds side, Elgin Corporate Credit Fund, a Cayman Island domiciled fund was admitted to the Official List. The Fund’s objective is to generate consistent and attractive risk adjusted returns for its shareholders by investing primarily in debt instruments in the European credit markets. The Fund will invest primarily in publicly-traded fixed income securities and related derivative instruments. In addition, Ernst & Young listed the usual number of sub-funds and classes in already listed structures.
